Terms & Conditions of Secure Vault Usage
These terms define the secure usage, responsibilities, inheritance workflows, and encrypted infrastructure policies governing the Vaultix platform.

Agreement and service provider
These Terms and Conditions (Terms) govern your access to and use of the Vaultix website, applications and related services (Services), provided by Vaultix LLC (Vaultix, we, us or our). By accepting these Terms when registering, purchasing a plan or accepting a beneficiary invitation, you agree to be bound by them. If you do not agree, do not use the Services.
Our Privacy Policy explains how we handle personal information. Acceptance of these Terms is not a substitute for any separate privacy consent required by law.
Eligibility and account details
You must be at least 18 years old, or the age of legal majority where you live if higher, and legally capable of entering into this agreement. This rule applies to account holders and independent beneficiary accounts. You must provide accurate information and keep your email address, telephone number and beneficiary details current. You may not use the Services where doing so is prohibited by applicable law.
You are responsible for protecting your account credentials and promptly reporting suspected unauthorized access. You are not responsible for losses to the extent caused by our failure to meet obligations that cannot lawfully be excluded.
What Vaultix provides
Vaultix provides technology for storing encrypted digital information and configuring future access to selected content. A Vault Item is a discrete encrypted package of documents, information, credentials, instructions or other user-provided content stored within Vaultix. Vault Content means the information you store in the Services.
Where supported by your plan, you may assign a Vault Item to one designated beneficiary and choose an inactivity duration for a legacy-access workflow. Different Vault Items may be assigned to different beneficiaries. One Vault Item is not divided among multiple beneficiaries, and Vaultix does not use a multisignature beneficiary model.
Underlying property and legal rights
An Underlying Asset is any financial account, security, cryptocurrency, wallet balance, digital property, legal right or other property to which a Vault Item relates. Vaultix stores information; it does not hold client funds or execute transactions in Underlying Assets.
Vaultix is not a bank, broker-dealer, investment adviser, trust company, executor, law firm, virtual-asset custodian, money transmitter or financial institution, and does not provide financial, investment, tax, fiduciary or legal advice. A beneficiary designation or release within Vaultix does not itself transfer legal ownership of an Underlying Asset, determine inheritance rights, replace a will or trust, appoint an executor or override applicable law.
Information such as passwords or recovery phrases may nevertheless enable practical access to an external account or wallet. Consider that consequence before storing or assigning it, and ensure your instructions are lawful and consistent with applicable provider terms and your estate arrangements.

FIG 4.1 — CLIENT-SIDE ENCRYPTION ARCHITECTURE
Your content and instructions
You retain your rights in your Vault Content. You grant Vaultix only the permission needed to store, process, protect and make that content available as instructed, operate the Services and comply with applicable law. This permission does not transfer ownership of your content or any Underlying Asset.
You must have the right to store the content and authorize its disclosure to your beneficiary. You are responsible for its accuracy, completeness and continued relevance and for complying with third-party rights and restrictions. Vaultix does not independently establish the ownership, legal effect or accuracy of your Vault Content. Keep separate copies of information you cannot afford to lose.
Trigger Activation
User account registers complete cryptographic inactivity beyond the predefined temporal threshold (e.g., 90, 180, or 365 days).
Verification Phase
A mandatory grace period (typically 14–30 days) commences. High-priority, multi-channel alerts are broadcast to the primary User to halt the process if erroneously triggered.
Protocol Execution
Smart contracts execute irrevocably, releasing segmented decryption shards to pre-verified legacy beneficiaries, enabling controlled asset reconstruction.
Encryption and access controls
Vaultix stores protected Vault Content in encrypted form and uses authentication and account-security controls. Encryption keys are managed through the backend infrastructure rather than being managed solely by users. Vaultix does not represent that its infrastructure is technically incapable of decrypting protected content or that only the account holder holds the encryption key.
Authorized application processes may process protected content as necessary to provide account access and beneficiary-access functions. Access to infrastructure keys must be distinguished from ordinary user-facing access. No security system eliminates all risks of unauthorized access, technical failure or data loss.
Password and PIN recovery
Vaultix provides account password reset and asset PIN reset options. Reset emails are sent to the email address registered with the account. A Recovery Contact option is not currently available. Losing a password or PIN does not, by itself, mean your information is permanently unrecoverable.
Protect your registered email account and keep it accessible. Two-factor authentication is available; use the supported controls shown in your account. If you lose access to your registered email or authentication method, contact support. Additional verification may be needed, and we cannot guarantee recovery where we cannot establish authorized access. Never send passwords, PINs, recovery phrases or private keys to support.
Beneficiary designation
A beneficiary designation authorizes a technology-access workflow for the assigned Vault Item. You are responsible for choosing the beneficiary and keeping the contact details and assignments current. Review your configuration when your circumstances change.
Any change you make through supported settings applies to future workflow actions according to the configuration shown in the Services. Changing an assignment does not revoke content already downloaded or disclosed. Beneficiary verification does not establish legal entitlement to an Underlying Asset.
Inactivity and reminders
When you enable legacy access, you select the supported inactivity duration. Vaultix monitors account logins and interactions with activation-reminder emails to operate that workflow. Reminders provide an opportunity to confirm activity through the supported process before the workflow progresses.
Keep your contact details current, monitor reminder messages and follow the in-product instructions to stop a workflow you do not intend to progress. Inactivity may result from travel, illness, lost access, missed messages or other circumstances; it is not proof of death or incapacity. A trigger is a service condition and is not a legal determination that you are deceased or unable to act.
The timing and supported check-in actions are those displayed in your configuration. Delivery of a reminder or release at an exact time cannot be guaranteed. If you believe activation is proceeding incorrectly, contact support promptly.
Beneficiary verification and release
If the workflow progresses, the designated beneficiary must complete the required email and telephone verification. Manual human review may be used in some cases for security, fraud prevention or dispute handling. These checks are not a determination of inheritance rights or a guarantee against impersonation.
After the configured workflow and verification requirements are satisfied, the whole assigned encrypted Vault Item is reassigned to the verified beneficiary within Vaultix. This process does not require staff to manually open the item before reassignment. The beneficiary receives an invitation to access the assigned content through Vaultix.
This transfers access to the Vault Item within the platform. It does not itself transfer ownership of, or execute a transaction in, an Underlying Asset. The beneficiary may continue using an available Vaultix account or plan, or download the assigned documents and data and close the account. External use of that information remains subject to applicable law and third-party terms. Vaultix cannot withdraw copies a beneficiary has already downloaded.
Conflicting instructions and disputes
Your Vaultix instructions govern platform access only. Legal rights under a will, trust, ownership record, probate process, provider contract or applicable law are determined outside Vaultix. Vaultix may pause or restrict access or release where reasonably necessary to address a genuine access dispute, suspected fraud, a security concern, a court order or other legal obligation. We may request information needed to assess an access claim without acting as an estate administrator or legal adviser.
Plans and payments
The current prices below are in United States dollars. Plan features and limits are shown on the Pricing page and at checkout. Applicable taxes and the total charge are disclosed before purchase.
| Plan | Price | Billing |
|---|---|---|
| Foundation | $0 | Free demo plan; no paid renewal |
| Continuity | $14.99 | Monthly; renews until cancelled |
| Legacy | $119 | Annual; renews until cancelled |
| Dynasty | $599 | One-time purchase; no automatic renewal |
Payments are processed through Stripe. By purchasing a recurring plan, you authorize charges at the disclosed billing interval until you cancel renewal. Changes to a renewal price will be communicated before they take effect, with any notice or consent required by law. A new price does not change a period already paid for.
Dynasty is a one-time purchase. The duration and scope of the purchased entitlement are ongoing access to the Dynasty features and storage limits purchased, for as long as Vaultix operates the relevant service. No periodic subscription fee is required for those purchased features. Optional new products or additional capacity may be offered separately; payment is not required merely to retain the purchased entitlement. The entitlement applies to the original account and does not automatically confer a Dynasty plan on a beneficiary account. If Vaultix permanently ends the service, we will, where legally and practically possible, provide at least 90 days of notice and an opportunity to export. If discontinuation occurs within five years of purchase, we will refund a proportion of the original Dynasty fee calculated as the unused portion of that five-year period. This commercial remedy does not limit mandatory rights. A one-time charge is not itself a promise of perpetual storage or guaranteed availability.
Plan changes and cancellation
Upgrades and downgrades begin after the current paid subscription period expires unless an earlier change is expressly offered and accepted. Your existing plan remains in effect until then. Because Dynasty has no scheduled renewal period, contact support about changing from Dynasty to another plan; a plan change does not automatically create a refund right.
You may cancel recurring renewal using the supported account cancellation process or by contacting support@vaultixsecure.com before the next billing date. Cancellation stops future renewal and does not normally shorten the period already paid for. Cancelling renewal and deleting an account are separate actions. Account deletion must also stop future subscription charges; request support assistance if needed.
When a paid period ends, the treatment of stored content, storage limits and configured beneficiary workflows is a 30-day transition period after the paid period ends. Existing content remains accessible for download during this period, but new uploads exceeding the new plan limit and new beneficiary-workflow setup are disabled. No pending workflow will release content during a loss of paid entitlement. We will notify you at expiry and before the transition period ends. If you renew or move to an eligible plan during that period, existing assignments are preserved, but an interrupted workflow requires your confirmation before it resumes. If you do not continue, the account moves to the available Foundation entitlement, any paid legacy workflows remain suspended and content beyond that entitlement enters the account-deletion retention process described below. We will not delete excess content without prior notice. An intentional downgrade follows the same transition process for features or content that exceed the new plan. Export important content before closing your account.
Refunds and billing errors
For an initial purchase of Continuity, Legacy or Dynasty, we offer a refund if you request cancellation within 14 calendar days of purchase and no beneficiary release or Vault Item reassignment has been completed. After that period, fees are generally non-refundable except where required by law or expressly agreed. Renewal charges are generally non-refundable, but we will refund an unintended renewal reported within seven calendar days if you have not used paid features or completed a beneficiary release since renewal. Foundation has no paid fee to refund. We do not charge cancellation fees. Approved refunds are initiated within ten business days; payment-provider settlement times may vary. The release condition does not override statutory rights.
Nothing in a commercial refund policy limits a statutory cancellation right, refund or other remedy that cannot lawfully be excluded. Contact support promptly about an incorrect charge or other billing error so it can be reviewed.
Account closure and retention
The current account-deletion process is a soft delete. Account information and encrypted Vault Content are not immediately permanently erased and remain in the database for a 30-day retention and recovery period. Contact support during that period if you wish to request restoration; restoration is subject to verification and technical availability.
At the end of that period, permanent deletion and removal from backups occur according to a scheduled permanent purge of deleted account content from live storage at the end of the 30-day recovery period, followed by expiry or secure removal of residual backup copies within a further 30 days, making the ordinary maximum deletion window 60 days from the original deletion request. During that backup-only period, deleted information is unavailable for ordinary account restoration or beneficiary release. If a disaster-recovery backup is restored, the deletion record is reapplied so deleted accounts and workflows do not reactivate. A valid legal hold or mandatory retention duty may require limited records to be held longer. Certain billing, security or other records may be retained where necessary for legal obligations, fraud prevention or disputes, as described in the Privacy Policy.
Content previously reassigned to a beneficiary is held under that beneficiary account and is not automatically deleted by closure of the original account. Copies downloaded outside Vaultix are beyond Vaultix deletion controls. Export your information before closure and contact support if there is a pending release or access dispute.
Acceptable use and legal restrictions
You may not use Vaultix to violate law, infringe rights, facilitate fraud, distribute malicious code, attack or disrupt the Services, attempt unauthorized access or evade security controls. You may not use the Services where dealing with you or providing the Services would violate applicable sanctions or export-control laws. We may restrict access where necessary to comply with law or provider requirements. Encryption does not excuse unlawful use.
Providers and service availability
Vaultix uses AWS for infrastructure and Stripe for payments and may use other providers described in the Privacy Policy. Third-party products and external accounts have their own terms and privacy practices. Use of a provider does not remove Vaultix obligations that cannot lawfully be excluded.
Maintenance, outages, security incidents, legal requirements and provider failures may affect availability. Backups do not guarantee that every recent upload or change can be restored. Vaultix does not promise uninterrupted service or a particular uptime percentage. We may modify features when reasonably necessary, subject to contractual and statutory rights. For a material adverse change to a paid entitlement or service discontinuation, we will give any required notice and remedy and, where feasible and lawful, an opportunity to export content.
Intellectual property and privacy
Vaultix and its licensors retain rights in the software, branding, designs, interfaces and documentation, excluding your Vault Content. Subject to these Terms, you receive a limited, non-exclusive and non-transferable right to use the Services for their intended purpose while authorized. Our Privacy Policy explains personal-information handling, including service metadata, beneficiary details and encrypted content.
Suspension and termination
We may suspend or terminate access where reasonably necessary for security, legal compliance, non-payment, material breach, fraud or abuse. Where appropriate and legally required, we will give notice and a reasonable opportunity to remedy the issue. Immediate action may be necessary for urgent threats or legal requirements. Termination does not waive accrued statutory rights, valid refund claims or our retention and deletion obligations.
Disclaimers and liability
To the extent permitted by law, the Services are provided on an as is and as available basis. We do not warrant uninterrupted or error-free operation, immunity from security incidents, or suitability for every estate-planning purpose. Vaultix does not replace professional advice or legal instruments.
To the extent permitted by law, Vaultix is not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, business opportunity or goodwill. Subject to the exceptions below, aggregate liability relating to the Services is limited to the greater of USD 100 and the fees paid during the 12 months before the event giving rise to the claim. For a claim relating to a Dynasty entitlement, the cap will be no lower than the original Dynasty purchase price, even if that purchase was more than 12 months earlier. Mandatory remedies remain unaffected.
Nothing excludes or limits liability for fraud, deliberate misconduct, gross negligence where it cannot lawfully be limited, or any liability, warranty, privacy right or consumer remedy that cannot lawfully be excluded or limited. Applicable mandatory law controls where it requires a different remedy.
Governing law and disputes
These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law principles. Except where mandatory law provides otherwise, disputes relating to these Terms or the Services are subject to the exclusive jurisdiction of state and federal courts located in Delaware.
Nothing removes mandatory consumer or privacy protections or a right to bring proceedings in another court where applicable law permits. No mandatory arbitration, class-action waiver or jury waiver is imposed by this clause.
Changes and contact
We may update these Terms and will publish the revised version and effective date. Material changes will be notified by email or in-product notice before taking effect where required or reasonably appropriate. We will obtain renewed acceptance where required. Changes do not retroactively remove rights already accrued.
Questions, cancellation requests and legal notices may be sent to Vaultix LLC at support@vaultixsecure.com or the legal-notice postal address published in the Contact page company details. Email is the recommended first contact channel.
